Centraligence is a platform operated by Orelia Capital (GST 08JDWPS5145E1ZS), a sole proprietorship registered at Mahadev Nagar, Gandhi Path, Vaishali Nagar, Jaipur, Rajasthan, India 302021 ("Centraligence", "we", "us" or "our").

The Services
Centraligence helps organisations connect existing business tools and use AI Employees to prepare, analyse, organise and, where enabled by you, execute recurring operational workflows.
The Services may include:
- AI Employees for sales, finance, customer success and custom workflows;
- integrations with third-party tools;
- approval queues and action history;
- Company Brain and business-context features;
- Centra, the Centraligence operating interface; and
- related onboarding, support and implementation services.
Features may differ by plan, order form, integration availability and region.
Your Account and Authority
You must provide accurate account information and keep your login credentials secure.
You represent that:
- you are authorised to accept these Terms for your organisation;
- you are authorised to connect any third-party tools, accounts and data sources you connect to Centraligence;
- your use of the Services complies with applicable law, contracts and internal policies; and
- you have obtained all necessary permissions, notices and consents relating to Customer Data.
You are responsible for activity carried out through your account and workspace.
Customer Data
"Customer Data" means data, documents, messages, records, contacts, account information and other content that you or your authorised users provide to Centraligence or make available through connected tools.
You retain ownership of Customer Data.
You grant us a limited right to host, process, analyse, transmit and display Customer Data only as necessary to: provide, secure and improve the Services; operate connected workflows you enable; provide support; prevent fraud, misuse or security incidents; and comply with applicable law.
You are responsible for the accuracy, quality and legality of Customer Data.
AI Employees and Approvals
Centraligence may generate recommendations, summaries, drafts, classifications, workflow actions and other outputs using artificial intelligence.
You remain responsible for reviewing outputs and deciding whether to approve, edit, reject or act on them.
Where approval is required, Centraligence will not execute the relevant action until an authorised user approves it. Where an action has been configured for greater autonomy, you remain responsible for the permissions, settings and connected accounts you authorise.
Centraligence does not provide legal, financial, tax, accounting, employment, investment or other professional advice. You should obtain independent advice where appropriate.
Human-Only Actions
Certain actions are restricted or unavailable through Centraligence, including payment initiation, payroll approval, refunds, pricing changes, contract changes, account termination and other high-risk actions.
We may add, change or enforce safeguards where reasonably necessary to protect users, third parties or the Services.
Third-Party Services and Integrations
The Services may connect with third-party products such as CRM, accounting, email, support, collaboration and document-management tools.
Your use of third-party services is governed by the terms and privacy policies of those providers. We are not responsible for third-party services, their availability, their changes to APIs or permissions, or data they process independently of Centraligence.
You may disconnect an integration at any time through the applicable settings, subject to any ongoing processing required to complete pending actions or meet legal obligations.
Acceptable Use
You must not use the Services to:
- break the law or infringe another person's rights;
- send spam, deceptive communications or unlawful marketing;
- process data without appropriate authority;
- bypass access controls or security measures;
- interfere with the Services or other users;
- reverse engineer, copy or resell the Services except where permitted by law; or
- use Centraligence to make decisions that unlawfully discriminate against individuals.
We may suspend or restrict access where we reasonably believe there has been misuse, a security risk or a breach of these Terms.
Fees and Payment
Fees, billing frequency, implementation charges and payment terms are set out on our website, in your selected plan, or in a separate order form.
Unless stated otherwise: fees are payable in advance; taxes, including GST, may apply; you are responsible for providing accurate billing information; and overdue amounts may result in suspension after reasonable notice.
Custom and Enterprise arrangements may have separate commercial terms.
Intellectual Property
We own all rights in the Services, including our software, workflows, interfaces, designs, documentation, trademarks and underlying technology.
You retain ownership of Customer Data.
You may provide feedback or suggestions. We may use them without restriction or payment, provided we do not publicly identify you without permission.
Confidentiality
Each party must protect the other party's confidential information and use it only to perform obligations or exercise rights under these Terms.
Confidential information does not include information that is publicly available through no breach of these Terms, independently developed, lawfully received from another source, or required to be disclosed by law.
Privacy and Security
Our handling of personal information is described in our Privacy Policy.
We use reasonable technical and organisational measures designed to protect Customer Data. No system is completely secure, and you acknowledge that internet-based services carry inherent risks.
Suspension and Termination
You may stop using the Services at any time.
We may suspend or terminate access if: you materially breach these Terms; required fees remain overdue; your use creates a material security, legal or operational risk; or required by law.
On termination, your right to use the Services ends. We will handle Customer Data in accordance with our Privacy Policy, applicable law and any agreed order form.
Disclaimers
To the maximum extent permitted by law, the Services are provided on an "as available" basis.
We do not guarantee that: outputs will always be accurate, complete or suitable for a particular purpose; integrations will always be available; AI-generated outputs will be error-free; or the Services will prevent every operational, financial or customer risk.
Nothing in these Terms excludes rights that cannot legally be excluded.
Limitation of Liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special or consequential loss, including loss of profits, revenue, goodwill, data or business opportunity.
Our total liability arising from the Services is limited to the amount you paid to Centraligence for the Services in the 12 months before the event giving rise to the claim.
This limitation does not apply where liability cannot legally be excluded or limited.
Changes to These Terms
We may update these Terms from time to time. If a change is material, we will provide reasonable notice through the Services, by email or on our website.
Your continued use of the Services after the updated Terms take effect means you accept them.
Governing Law
These Terms are governed by the laws of India. The courts of competent jurisdiction in Rajasthan, India shall have exclusive jurisdiction to resolve any disputes, except where applicable law provides otherwise.
